By using our services, you confirm that:

• You have the authority to enter into a binding agreement
• You are using our services for lawful business or personal purposes

KibaOne provides services based on project scope, proposals, or service agreements agreed upon with the client.
We reserve the right to:

• Modify or discontinue services
• Refuse service if terms are violated
• Update offerings without prior notice

Clients agree to:

• Provide accurate and complete information
• Respond in a timely manner when required
• Use delivered services and materials legally
• Respect intellectual property rights

Delays caused by missing information or approvals may impact delivery timelines.

• Fees are outlined in proposals, invoices, or agreements
• Payments must be made according to stated terms
• Late payments may result in service suspension
• All fees are non-refundable unless otherwise stated in writing

Taxes (including HST) may apply where required by law.

Unless otherwise agreed:

• KibaOne retains ownership of proprietary tools, frameworks, and methodologies
• Clients receive a license to use delivered work upon full payment
• Unauthorized resale or redistribution is prohibited

Both parties agree to keep confidential any non-public business, technical, or financial information exchanged during the engagement.

KibaOne may integrate or recommend third-party platforms (cloud providers, software tools, printing partners).
We are not responsible for third-party service availability, failures, or policy changes.

To the maximum extent permitted by law:

• KibaOne shall not be liable for indirect, incidental, or consequential damages
• Total liability shall not exceed the amount paid for the service in question

Services are provided “as is” and “as available.”
We do not guarantee:

• Uninterrupted service
• Specific business results
• Error-free outcomes

Either party may terminate services with written notice, subject to:

• Outstanding payments
• Completed work delivered up to termination date

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

We may update these Terms at any time. Continued use of our services constitutes acceptance of the revised Terms.
